1Overview
AgroBridge Africa Ltd ("AgroBridge") is committed to operating as a responsible, law-abiding, and ethical company. We recognise that trust is foundational to the agricultural economy we serve, and we hold ourselves to the highest standards of legal, regulatory, and ethical compliance across all aspects of our operations.
This Compliance Statement outlines the regulatory framework within which AgroBridge operates, the internal governance mechanisms we have established, and our commitments to our users, partners, regulators, and the communities we serve.
2Applicable Laws and Regulations
AgroBridge operates in compliance with the following Nigerian laws and regulations, as well as applicable international standards:
2.1 Data Protection & Privacy
- Nigeria Data Protection Act 2023 (NDPA): We process personal data lawfully, fairly, and transparently in accordance with the NDPA and the guidelines issued by the Nigeria Data Protection Commission (NDPC).
- We have appointed a Data Protection Officer (DPO) responsible for overseeing our data governance programme.
2.2 Consumer Protection
- Consumer Protection Council Act (Cap C25, LFN 2004): We are committed to fair dealing, transparent pricing, and the resolution of consumer complaints in a timely and equitable manner.
- Our Refund & Dispute Policy ensures that buyers are not left without recourse where products are substandard or not delivered.
2.3 Financial Services and Payments
- All payment processing is conducted through Paystack, a licensed payment gateway regulated by the Central Bank of Nigeria (CBN).
- We comply with CBN payment system guidelines applicable to e-commerce platforms operating in Nigeria.
- Our escrow mechanism is operated in compliance with applicable financial services guidelines.
2.4 Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF)
- Money Laundering (Prevention and Prohibition) Act 2022: We implement Know Your Customer (KYC) procedures for farmer onboarding and high-value transactions.
- We maintain transaction records for the statutory minimum period and report suspicious transactions where required by law.
- Our platform conducts risk-based screening of users against applicable sanction lists.
2.5 Food Safety and Agriculture
- Farmers and suppliers on our platform are required to comply with applicable NAFDAC regulations and the National Agricultural Seeds Council (NASC) guidelines for produce quality and safety.
- AgroBridge reserves the right to delist any product or farmer found to be in violation of applicable food safety standards.
2.6 Electronic Commerce
- We operate in compliance with the Federal Competition and Consumer Protection Commission (FCCPC) guidelines on e-commerce applicable to digital marketplace operators in Nigeria.
2.7 Company Law
- AgroBridge Africa Ltd is registered under the Companies and Allied Matters Act (CAMA) 2020 and maintains good standing with the Corporate Affairs Commission (CAC) of Nigeria.
- We file all statutory returns and maintain proper accounting records as required by applicable company law.
3KYC & User Verification
To protect the integrity of our marketplace, AgroBridge implements a tiered Know Your Customer (KYC) verification programme:
- Level 1 (Standard Users / Buyers): Email verification and phone number validation at registration.
- Level 2 (Verified Buyers): Government-issued ID verification for high-value transactions or group buy organising privileges.
- Level 3 (Farmers & Vendors): Comprehensive verification including National ID or BVN (Bank Verification Number), farm location confirmation, bank account validation, and review of farming credentials or certifications.
- Level 4 (Logistics Partners): Identity verification, vehicle documentation, and insurance confirmation.
Users who do not complete required verification levels may face restrictions on certain features. KYC documentation is processed and stored in accordance with our Privacy Policy and applicable data protection laws.
4Data Governance and Security
AgroBridge maintains a robust data governance framework that includes:
- A designated Data Protection Officer (DPO) responsible for data compliance oversight.
- Regular Data Protection Impact Assessments (DPIAs) for high-risk processing activities.
- Employee training on data protection principles and platform security protocols.
- Contractual data processing agreements with all third-party data processors.
- An incident response plan to manage data breaches, including notification to the NDPC and affected data subjects within the statutory timeframes.
- Role-based access controls limiting data access to authorised personnel on a need-to-know basis.
- Penetration testing and vulnerability assessments conducted at least annually.
5Anti-Fraud and Platform Integrity
AgroBridge maintains dedicated anti-fraud mechanisms to protect users and the integrity of the platform:
- Automated transaction monitoring for patterns indicative of fraudulent activity.
- Manual review of flagged accounts and transactions by our compliance team.
- Collaboration with law enforcement and regulatory agencies where evidence of criminal activity is identified.
- A secure reporting mechanism enabling users to report suspected fraud or abuse at security@agrobridge.com.ng.
- Zero-tolerance policy for platform manipulation, fake reviews, and artificial inflation of listing metrics.
6Environmental and Social Responsibility
AgroBridge is committed to operating in a manner that supports the sustainable development of African agriculture and the livelihoods of smallholder farmers. Our core commitments include:
- Farmer Empowerment: Ensuring fair, timely payouts to farmers and providing transparent pricing to reduce exploitation by intermediaries.
- Food Security: Supporting increased market access for smallholder farmers in underserved regions of Nigeria and Africa.
- Reducing Food Waste: Facilitating group buying and direct farm-to-table distribution to reduce spoilage in the supply chain.
- Financial Inclusion: Enabling unbanked farmers to access digital payments through BVN-linked payouts.
- Non-Discrimination: We operate a non-discriminatory onboarding and service delivery policy. Users shall not be treated differently on the basis of gender, religion, ethnicity, or disability.
7Whistleblowing and Reporting
AgroBridge maintains a confidential whistleblowing mechanism enabling users, employees, and partners to report suspected violations of law, ethical standards, or platform policies without fear of retaliation.

All reports are treated as strictly confidential. AgroBridge will not disclose the identity of any whistleblower without their explicit consent, except where required by applicable law. We prohibit any form of retaliation against persons who make good-faith reports under this mechanism.
